MEMORANDUM OF UNDERSTANDING
THIS MEMORANDUM OF UNDERSTANDING (the “MOU”) is made August 16, 2018 between the Las Vegas Convention and Visitors Authority (“LVCVA”), Tencent America LLC (“Tencent”), and WeMeet America Inc. (“WeMeet”).
WHEREAS, the LVCVA desires to promote the city of Las Vegas as a leisure and business destination to Chinese business travelers through more effective pre-arrival marketing and better engagement both in and outside of the exhibition by utilizing the most widely used technology the Chinese rely upon back home, specifically WeChat powered by Tencent;
WHEREAS, Tencent desires to grow its payments business, WeChat Pay, outside of China as part of its initiative to focus on Chinese outbound tourists and acquire more merchants outside of China to integrate WeChat Pay as a form of accepted payment from Chinese customers;
WHEREAS, WeMeet desires to serve Chinese business travelers by keeping them connected with event and city information and resources as well as local merchants and service providers by way of directly engaging them pre-event arrival, during event, and post-event through WeChat technology.
WHEREAS, there is an ongoing need to better serve the Chinese visitor market, a significant yet underserved segment of travelers to Las Vegas;
WHEREAS, mutual assistance in driving destination and economic development of Las Vegas benefits all parties.
NOW THEREFORE, the LVCVA, Tencent, and WeMeet hereby agree to:
Identify an agreed upon number of Las Vegas exhibitions and events with a significant percentage of Chinese visitors to develop and implement an attendance promotion program targeting Chinese visitors to particular trade shows through technological and customer support from WeMeet, and financial support from LVCVA and Tencent;
Jointly select shows beginning with the launch of ___________, a lighting show by Exponation in November 2018 during which WeMeet will offer services including a show service guide, mini-program, and real-time customer service powered by Tencent’s WeChat;
Help event organizers more precisely learn about the needs and trends of their Chinese event attendees for a better show and overall Las Vegas experience by creating service guides and customized WeChat mini-programs offering Chinese visitors real-time access to matchmaking and other business and lifestyle services;
Identify exhibition industry partners doing significant business with Chinese travelers including event organizers, venues/properties, and service providers;
Help industry partners better engage Chinese customers by educating partners on Tencent’s ecosystem of social engagement tools including WeChat and its mini-programs so that they can learn about needs and trends to offer more personalized products/services and increase conversions;
Develop and implement strategic use of Tencent’s ecosystem of social apps, marketing, advertising, and location tracking tools including Tencent heat maps via location based services to enable higher engagement and capturing of more value by all parties;
Jointly produce a sales mission to Shenzhen, China during which business customers, event organizers, and Hainan Airlines along with LVCVA, Tencent headquarters, and WeMeet can educate and interact directly with Chinese businesses and travel industry to encourage visiting Las Vegas;
Jointly develop a service center offering customer service and amenities not only Chinese event attendees but all international attendees;
Help get Centerplate and other LVCC vendors on WeChat Pay in time for CES to facilitate acceptance of payments from Chinese customers;
Exchange data and expertise related to Chinese visitors to Las Vegas;
Periodically consult and confer on mutually beneficial efforts in the future;
Work together to enhance airline linkages between China and Las Vegas;
Appoint designated contact persons from each side to maintain contacts.
This MOU creates no relationship of joint venture, partnership or limited partnership, amd gives neither party any right or authority to assume or create any obligation on behalf of the other. Each party’s participation in the activities contemplated by this MOU shall be at its own expense, unless otherwise agreed in writing.
Any Party to this MOU may terminate by giving 30 days written notice to all parties.
IN WITNESS WHEREOF, the persons signing this MOU on behalf of all parties represent and warrant that they are duly authorized and appointed agents of the parties and that no further action is required to enter in this MOU.
